These Terms and Conditions (”T&C”) govern your use and mint of NFT offered by SHA2 LABS PTE LTD (”Company”, “we”, “our”, “us”, or “BasedApp”). By participating in the NFT minting process, you agree to be bound by these T&Cs. If you do not agree to these T&Cs, do not participate in the minting of the BasedGold NFT.

1. Eligibility

1.1 You must be at least 18 years old or the age of majority in your jurisdiction to participate in the NFT minting process.

1.2 By participating, you represent and warrant that you have the legal capacity to enter into these T&C and that all information you provide is accurate and complete.

2. NFT Minting Process

2.1 The minting process allows you to create a unique digital asset (“NFT”) on a blockchain network. By minting an NFT, you acknowledge that you are creating a digital token representing ownership of a digital asset.

2.2 The NFT created through our service will be stored on the blockchain specified on the Website. We do not have control over the blockchain network and cannot guarantee the success nor security of any transaction.

3. BasedApp Gold Card

3.1 Each NFT minted through the Website will correspond to a unique BasedApp Gold card, which can be claimed by the holder of the NFT.

3.2 In order to claim the BasedApp Gold card, you will need to complete and pass the required KYC (Know-your-customer) questionaires.

3.3 The process for claiming and utilizing the BasedApp Gold card will be detailed on the Website. By minting the NFT, you agree to adhere to any additional terms related to the BasedApp Gold card.

3.4 The ownership of the NFT is required to claim and retain the BasedApp Gold card. Transferring or selling the NFT will result in the forfeiture of the benefits associated to the corresponding BasedApp Gold card to the new owner.

4. Ownership and Intellectual Property Rights

4.1 You retain ownership of the underlying digital asset linked to the NFT you mint. However, by minting an NFT, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute the NFT for the purpose of operating and promoting our services.

5. Fees

5.1 A fee may be charged for the minting of NFTs. All fees will be clearly disclosed on the Website prior to minting.

5.2 All transactions are final and non-refundable unless otherwise required by law.

6. Risks

6.1 By minting an NFT, you acknowledge and accept the inherent risks of using blockchain technology, including but not limited to the risk of loss of your digital assets, price volatility, and technical issues.

6.2 We are not responsible for any losses or damages that may result from your use of the NFT minting service, including but not limited to losses arising from errors, malfunctions, or unauthorized access.

7. Limitation of Liability

7.1 To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the NFT minting service.

7.2 Our total liability to you for any claims arising out of or related to these T&C shall not exceed the amount you paid for the minting service.

8. Termination

8.1 We reserve the right to suspend or terminate your access to the NFT minting service at our sole discretion, without notice, if we believe you have violated these T&C.

9. Governing Law

9.1 These T&C shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

9.2 Any disputes arising out of or related to these T&C shall be resolved exclusively in the courts of Singapore.

10. Changes to the T&C

10.1 We reserve the right to modify or update these T&C at any time. Any changes will be effective immediately upon posting the updated T&C on the Website.

10.2 Your continued use of the NFT minting service after any changes to these T&C constitutes your acceptance of the new terms.
